Mr. Atul Aggarwal

Managing Director

Mr. Atul Aggarwal is a distinguished business leader with over 36 years of multifaceted experience spanning Business Strategy, Marketing & Sales, Finance, Corporate Affairs, and Information Technology. He leads the Group’s strategic direction and overall business performance, with a strong focus on customer relationships, operational execution, and long-term growth across all business verticals. Under his stewardship, Sterling Tools Limited has achieved multiple milestones of financial strength, operational excellence, and strategic transformation.

He holds a Master of Business Administration (MBA) from the Kenan-Flagler School of Business, University of North Carolina at Chapel Hill, USA, and a Bachelor of Commerce degree from Shri Ram College of Commerce (SRCC), University of Delhi. Mr. Aggarwal has been re-appointed as Managing Director of the Company for a further term of five years with effect from April 1, 2026. The Company’s EV components business, operated through Sterling E-Mobility Solutions Limited, continues to be a key contributor to consolidated revenues, and the Company maintains a long-term credit rating of [ICRA] AA- with a healthy credit profile.

Mr. Akhill Aggarwal

Whole-Time Director

Mr. Akhill Aggarwal has more than 16 years of experience in the automotive sector and allied industries, with a strong focus on sales and business development. He holds a Bachelor’s degree in Economics from the University of Richmond. He oversees OEM Sales and After-Market Sales of the Company and supports the execution of key strategic initiatives, working closely with leadership teams across the Company’s manufacturing and technology businesses to drive operational and business objectives.

Recognizing his leadership capabilities and commercial acumen, he was appointed as Whole-Time Director on May 10, 2024, for a term of five years (effective until May 9, 2029). His expert management of the Company’s marketing strategies has ensured sustained growth and thriving business relationships with OEM and retail customers. He also serves as a Director on the Boards of various Sterling Group companies.

Mr. Anish Agarwal

Whole-Time Director & Chief Financial Officer

Mr. Anish Agarwal, a third-generation entrepreneur, has over 14 years of experience in the automobile sector, with particular expertise in electric mobility businesses. He holds degrees in Manufacturing and Mechanical Engineering from the University of Warwick and an MBA from Imperial College Business School, London. He was appointed as a Whole-Time Director and designated as the Chief Financial Officer of the Company with effect from May 15, 2026.

In addition to leading the Group’s finance function, Mr. Agarwal heads Sterling Tech-Mobility Limited, spearheading the development of the Group’s high-voltage components business, including the localisation of HVDC contactors and relays. He plays a pivotal leadership role across key Group entities and has been instrumental in the Sterling Group’s diversification into the MCU and electronic components sector through strategic and technical collaborations with global partners.

Mr. Jaideep Wadhwa

Non-Executive Non-Independent Director

Mr. Jaideep Wadhwa was appointed as a Non-Executive Non-Independent Director of Sterling Tools Limited at the Board Meeting held on 7th February 2019. He brings more than 33 years of experience in international business management and across the automotive and industrial component sectors, with extensive leadership experience as Executive Director, CEO, Managing Director, and President in various organisations spanning Machinery, Auto & Industrial Components, Packaging, and Private Equity.

Mr. Wadhwa heads Sterling E-Mobility Solutions Limited (SEM), the Company’s wholly owned subsidiary, and leads the Group’s EV powertrain and power electronics business. He played a pivotal role in establishing SEM, which has since become one of the largest Motor Control Unit (MCU) companies in India and a comprehensive Powertrain & Power Electronics systems provider, significantly contributing to Sterling’s consolidated revenues. He continues to spearhead various EV-related opportunities for the Sterling Group.

Mr. Shailendra Swarup

Independent Director

Mr. Shailendra Swarup, aged 77 years, is a highly respected Corporate Lawyer with more than 56 years of distinguished experience in corporate and international law. He holds a Bachelor’s degree in Arts and is a Law Graduate, and has been practicing as an Advocate before the Delhi High Court and the Hon’ble Supreme Court of India. He provides the Board with deep legal insight and guidance on governance, regulatory, and corporate law matters, and serves as an Independent Director on the Boards of several listed and unlisted companies.

He has made significant contributions to the development of corporate governance standards in India as a Member of the Task Force on Corporate Governance constituted by the Confederation of Indian Industry (CII), and as a Member of the Ganguly Committee constituted by the Reserve Bank of India (RBI) in 2002 on corporate governance of public sector banks and financial institutions, with particular emphasis on the role of Independent Directors.

Mr. Rakesh Batra

Independent Director

Mr. Rakesh Batra is a seasoned industry professional with over 40 years of experience in consulting and regulatory compliance across the automotive, industrial equipment, and manufacturing sectors, with deep specialization in corporate strategy, supply chain optimization, and large-scale business transformation. He is a B.Tech. graduate from the Indian Institute of Technology (IIT), Kharagpur, holds a Post Graduate Diploma in Management (PGDM) from the Indian Institute of Management (IIM), Ahmedabad, and a Master of Business & Technology (MBT) from the University of New South Wales (UNSW), Australia.

He previously served as Partner and Automotive Sector Leader at EY India, and brings deep industry knowledge and independent oversight to the Board’s deliberations on governance and compliance matters. Mr. Batra has been re-appointed as an Independent Director of Sterling Tools Limited for a second term of five years, effective from November 10, 2025 to November 9, 2030, and also serves as an Independent Director of Sterling E-Mobility Solutions Limited.

Mr. Vijay Paradkar

Independent Director

Mr. Vijay Madhav Paradkar is a seasoned finance professional with over 36 years of experience across Institutional and Corporate Finance, Investment Banking, Fund Management, Venture Capital, and Mergers & Acquisitions (M&A). By qualification, he is a Mechanical Engineer and holds a Master’s degree in Management Studies, further strengthened by Executive Management Programs at the Ross School of Business (University of Michigan), Harvard Business School (Boston), and the New York Institute of Finance (New York City). He provides valuable insight on capital allocation, strategic transactions, and financial governance.

In his most recent corporate leadership role, Mr. Paradkar served for 12 years as Vice President & Head – Mergers and Acquisitions at Mahindra & Mahindra Limited, responsible for all M&A, disinvestment, and private equity investment activities across the Mahindra Group. He was appointed as an Independent Director of Sterling Tools Limited with effect from March 25, 2024, for a term of five years.

Ms. Rashmi Urdhwareshe

Independent Director (Woman Director)

Ms. Rashmi Hemant Urdhwareshe is a highly accomplished technocrat with over 41 years of extensive experience in the automotive domain. She holds a Master’s degree in Electronics & Telecommunication (E&T/C) and is widely recognized for her contributions to vehicular safety, air quality, research and development (R&D), e-mobility, and green technologies. She contributes valuable technical expertise and an independent perspective to the Board’s oversight of manufacturing excellence, technology, and product development.

She retired as the Director of the Automotive Research Association of India (ARAI), where she was instrumental in establishing key national-level facilities, including the Centre of Excellence in E-Mobility and the Homologation & Technology Centre. Her outstanding contributions have been widely recognized, including the Nari Shakti Puraskar 2019, conferred by the Hon’ble President of India. She was appointed as a Woman Independent Director of Sterling Tools Limited with effect from February 1, 2024, and also serves as a Woman Director of Sterling E-Mobility Solutions Limited.

Mr. Sanjiv Garg

Independent Director

Mr. Sanjiv Garg is an accomplished technologist and entrepreneur with over 41 years of experience in process management, software development, and technological innovation. He holds a Bachelor of Technology (B.Tech.) in Civil Engineering from the Indian Institute of Technology (IIT), Delhi (1981) and a Master of Science degree from Northwestern University, Evanston, USA. He contributes a strong digital, technology, and innovation perspective to the Board’s strategic discussions.

Mr. Garg is the Founder of JindalX and Co-founder of Wisdom Analytics Inc., where he has driven operational excellence, digital transformation, and technology-led innovation, particularly in AI/ML-based SaaS platforms. He has a proven track record of transforming visionary concepts into successful, scalable ventures across diverse industries. He was appointed as an Independent Director of Sterling Tools Limited with effect from May 10, 2024, for a term of five years.
